Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software, services, and websites operated by Nautical Staffing LLC ("Nautical," "we," or "us"), including the client portal at portal.nauticalstaffing.com (collectively, the "Services"). By accessing or using the Services you agree to these Terms.

1. Accounts

  • You may only create an account if you have authority to bind the business you represent.
  • You are responsible for all activity under your account, including any additional authorised emails you add for your team.
  • Keep your login email secure. Notify us at security@nauticalstaffing.com of any suspected unauthorised access.

2. Our role

Nautical provides recruiting software and professional services that help you evaluate and hire offshore candidates. We do not employ candidates and we are not a party to the employment or contractor relationship you form with them. You are solely responsible for employment-related obligations, including wages, taxes, background checks, and compliance with the laws of the candidate's jurisdiction.

3. AI-assisted decisions

The Services use artificial intelligence to summarise résumés, score candidate fit, and generate contextual information. These outputs are recommendations, not decisions. You should exercise independent human judgment before making employment decisions and are responsible for ensuring your use of any AI-assisted output complies with applicable law (including anti-discrimination and fair-hiring regulations).

4. Fees and payment

Fees for recruiting services are set out in a separate engagement letter or statement of work between you and Nautical. Use of the portal is included with your engagement at no additional charge unless otherwise agreed.

5. Acceptable use

You agree not to:

  • Use the Services to violate any law or third-party right.
  • Attempt to access accounts or data you are not authorised to access.
  • Probe, scan, or test the vulnerability of the Services without written permission.
  • Interfere with or disrupt the Services or underlying infrastructure.
  • Reverse engineer, scrape, or extract data beyond what the Services expose through their normal interfaces.
  • Use candidate data for purposes unrelated to evaluating or hiring that specific candidate.

6. Client content and data

You retain ownership of the information you submit (role requirements, feedback, messages — "Client Content"). You grant Nautical a worldwide, non-exclusive, royalty-free licence to use, host, and process Client Content solely to provide the Services and improve them in aggregated, de-identified form. You represent that you have all rights necessary to provide Client Content.

7. Candidate data

You may only use candidate information accessed through the Services to evaluate that candidate for placement with your business. You must handle candidate personal information in accordance with applicable privacy laws and not share it with parties outside your business without legitimate hiring need.

8. Intellectual property

Nautical and its licensors retain all right, title, and interest in the Services, the platform software, and all related intellectual property. These Terms do not grant you any right to use our trademarks or branding without written permission.

9. Third-party services

The Services integrate with third parties including Google (Calendar, Meet, OAuth), Recruit CRM, Anthropic, Resend, and Deepgram. Your use of those services is governed by their own terms. We are not responsible for the availability or content of third-party services.

10. Confidentiality

Each party agrees to keep the other's non-public information confidential and to use it only as necessary to perform under these Terms. This obligation survives termination.

11. Warranty disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NAUTICAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI-GENERATED OUTPUT IS ACCURATE, COMPLETE, OR FIT FOR YOUR PARTICULAR USE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE. EACH PARTY'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID OR PAYABLE BY YOU TO NAUTICAL IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to defend, indemnify, and hold harmless Nautical from any third-party claims arising out of your Client Content, your use of the Services in violation of these Terms, or your hiring decisions regarding any candidate.

14. Termination

Either party may terminate an engagement at any time per the terms of the applicable engagement letter. We may suspend or terminate your access immediately if we reasonably believe you have breached these Terms. Sections that by their nature survive termination (confidentiality, IP, disclaimers, liability caps) will continue to apply.

15. Changes

We may update these Terms. If changes are material, we'll notify you by email or in-product. Continued use after the effective date means you accept the updated Terms.

16. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute arising under these Terms will be resolved in the state or federal courts located in New York County, New York, and both parties consent to jurisdiction there.
